These Terms and Conditions were last updated on February 2024.

Please do not use this platform unless you have read these Terms and Conditions.

These and any other documents referred to herein, set out the terms of use governing the use of this Platform of www.findmy-therapist.com (“Our Platform”).

By Using Our platform, you are accepting these terms and conditions. If you do not agree to these Terms and Conditions, you must cease using Our Platform immediately.

1. Find My Limited

1.1.  Is an English registered Limited company no 13687204

1.2.  Its’ Registered offices are Sterling House 2B, Fulbourne Road, London. E17 4EE

2. Definitions

a)  “Website” – the FindMy-Therapist Website or sometimes referred to as Our Platform  

b)  “We / Us / Our / We’ve” means Find My Limited,

c)  “Content” – all information of whatever kind (including video (live or otherwise), audio, images, posts, comments, chat, advertisements, reviews etc.), uploaded to Our Platform Service (including messages sent via Our Platform Service).

d)  “Therapist / Industry Expert” – acts in the capacity of supplying a Service(s) to their Customer(s).

e)  Therapist / Contract” – a contract for the supply of Therapist Services by the Therapist to their audience either one to one or one to many.

f)  Therapist Services” – consultations, events and other services supplied via Our Platform Service whether by recorded or live video / audio or otherwise.

g)  “Customer / Follower / User / Consumer” – a User acting in the capacity of recipient or potential recipient of The Therapist Services.

h)  “Our Platform Service” – our website and any related services.

i)  “Store Rules” – any applicable rules, policies or terms of the relevant Store.

j)  “Users / Customers” – persons or organisations using Our Platform Service (whether or not registered with us).

3. What this is all about i.e. an introduction to our terms and conditions

3.1.  These are our terms and conditions which apply to Our Platform Service. We’ve tried to make them user-friendly. Please read them carefully. They’re available in English only.

3.2.  If you are acting for a collective, you undertake to us that:

a)  All members of the collective have authorised you to act for them;

b)  They have all agreed to comply with these terms and conditions insofar as relevant and you acknowledge that “you”, “your” etc applies to all members of the collective; and

c)  You are personally liable to us for their compliance.

4. Changing our terms and conditions

4.1. We may change these terms and conditions by giving notice by email or by posting the new version on our website. You shall be bound by the revised agreement if you continue to use Our Platform Service following the effective date shown.

5. Forming a contract with us

5.1. By registering on Our Platform Service you enter a legal contract with us.   

6. Therapist right to cancel (“cooling off”) 

6.1. If you are a Therapist, you have the right to cancel this contract (i.e. your contract with us for using Our Platform Service) by e-mailing us on enquiries@findmy-therapist.com

7. Your right to use Our Platform Service

7.1. We grant you a limited personal non-transferable right to use Our Platform Service on any applicable device owned or controlled by you subject to these terms and conditions and, where applicable, in accordance with the Store Rules.

8. Who can use Our Platform Service?

8.1.  We reserve the right at our discretion for any reason to reject any application to join our site as a User or Therapist, even if a contract has already been formed. If relevant, we will refund in full any payment made by the applicant.

8.2.  You undertake not to use, or attempt to register on, Our Platform Service if:

a)  You are below 18 years of age;

b) If display of or access to any aspect of this service is illegal under the laws (if applicable) of the country from which you are accessing Our Platform Service (e.g. because the country doesn’t permit such a Service or display of or access to such material at all or because you are under the relevant age limit); or 

c) If you have been convicted of any offence, or subject to any court order, relating to assault, violence, sexual misconduct, harassment or dishonesty.

9. Acceptable use of Our Platform Service

9.1.  You undertake not to do any of the following in connection with Our Platform Service:

a)  Breach any applicable law, regulation or code of conduct;

b) Upload any content (including links or references to other content), or otherwise behave in a manner, which:

  • Is defamatory, threatening, harassing, invasive of privacy, offensive, vulgar, racist, hateful, discriminatory, obscene, pornographic, sexually suggestive, promoting of self-harm, misleading, abusive or deceptive;
  • Infringes any intellectual property or other rights of others;
  • Involves phishing or scamming or similar; or
  • We otherwise reasonably consider to be inappropriate;

c)  Upload any Content which includes someone else’s personal information unless that person is 18 years or over and you have obtained that person’s explicit written consent;

d) Impersonate any person or entity in order to mislead others;

e)  Upload any Content which links to any third-party websites which are unlawful or contain inappropriate Content;

f)  Sell access to Our Platform Service;

g)  Use Our Platform Service to provide a similar service to third parties or otherwise with a view to competing with us;

h)  Sell advertising, sponsorship or promotions on or in connection with Content except insofar as specified on Our Platform Service or explicitly authorised by us.

i)  Use Our Platform Service for junk mail, spam, pyramid or similar fraudulent schemes.

j)  Do anything which may have the effect of disrupting Our Platform Service including denial of service attacks, worms, viruses, software bombs or mass mailings.

k) Do anything which may negatively affect other Users’ enjoyment of Our Platform Service;

l)  Gain unauthorised access to any part of Our Platform Service or equipment used to provide Our Platform Service;

m)  Use any automated means to interact with our systems excluding public search engines; or

n)  Attempt, encourage or assist any of the above.

9.2.  You undertake to:

a)  Comply with all the rules or requirements on Our Platform Service;

b)  Promptly comply with any reasonable request or instruction by us in connection with Our Platform Service; and

c)  Ensure that any contact or other information which you supply to us is accurate and not misleading and you will update it so that it remains so.

10. Therapist Services 

General

10.1.  Our Platform Service constitutes a “Neutral Platform” facility whereby Therapists can arrange to supply Therapist Services to Customers under their own general terms and conditions and with their own invoicing via their own Payment Gateway account. The terms of engagement are between the respective Therapist and their Customer. FindMy-Therapist is not party to the Therapists Contract, the delivery of the Therapist Service or the billing of the Service. Any breach arising from the Therapists Contract is between the Therapist and their Customer(s).

10.2.  A Therapist has the right to cancel the Therapist Contract with the Platform subject to a written e-mail notification whereupon the Therapists account will be removed from the site in a timely manner.

10.3.  Any cancellation by a Customer or a Therapist is subject to the cancellation policy detailed by the Therapists terms and conditions

Disputes

10.4.  Customers must raise any disputes relating to their Therapists Service with the Therapist within 48 hours in the event that the dispute remains unsettled FindMy-Therapist may step in to arbitrate. This will not affect any consumer minimum legal rights.

10.5  FindMy-Therapist Limited is entitled, but not obliged, to adjudicate on any dispute between a Therapist and Customer. If we decide to do so, our decision is final.

11. Therapist Undertakings and Confirmation to Find My Therapist  

11.1.  Therapists undertake to FindMy-Therapist when supplying Therapist Services to Customers:

a)  They have and will maintain the necessary abilities (including licenses, permissions, qualifications, skills, training and expertise).

b)  They will act in accordance with the highest applicable professional or industry standards.

c)  They will comply with all applicable laws and regulations and will not infringe any third party rights.

11.2.  Therapists acknowledge that we do not guarantee that use of Our Platform Service in itself will necessarily enable compliance with all applicable laws and regulations, and it is the responsibility of Therapists to satisfy themselves thereof.

11.3.  Therapists undertake to us that they will immediately inform us in writing of any relevant change to their circumstances, for example any changes to their licence to practice or professional insurance cover.

11.4.  Therapists undertake to us that they will deal with other Therapists in a polite and courteous manner.

11.5.  Therapists undertake to us that they will only use any personal information of other Therapists or users of their service strictly in accordance with applicable confidentiality and data protection laws and regulations.

11.6.  Therapists acknowledge that we do not guarantee that use of Our Platform Service will automatically comply with any applicable laws and regulations or that it will generate any particular level of revenues or suitable enquiries.

11.7.  Therapists confirm that they are directly responsible to HMRC for all matters regarding Income Tax, VAT and relevant National Insurance contributions.

11.8. Therapists agree that nothing in the Find My Therapist Terms constitutes a contract of employment between the Therapists and Find My Therapist. The Therapist shall be fully responsible for and indemnify FindMy-Therapist against any liability, assessment or claim for any employment-related claim or any claim based on worker status brought by the Therapist. This indemnity shall include all expenses and costs, including legal fees, incurred by Find My Limited in dealing with any Therapist claim.

11.9.  Therapists will keep their own financial records for completion of their annual Tax Returns. 

11.10.  Therapists fully indemnify Find My Limited against all and any demands by HMRC to Find My Limited for any HMRC claim, including but not limited to any interest or penalties, arising out of the Therapists failure to account properly or at all for HMRC liabilities arising out of the Therapists financial renumeration from the Payment Gateway. The indemnity will include all expenses and costs, including legal fees, that maybe incurred by Find My Therapist regarding an HMRC Therapist claim.

11.11.  Therapists acknowledge that all sessions delivered on the Platform will be recorded, stored and from time to time maybe used by Find My Therapist. Accordingly, the Therapist agrees to waive any and all moral rights in and to all UGC.

11.12. The Therapist agrees that any UGC used in delivering of the session will not contain any third party copyright material, or material that is subject to other third party proprietary rights and that the Therapist has a formal agreement or permission from the rightful owner, or legally entitled to use the UGC

11.13. All Intellectual Property Rights and Materials included in the sessions will belong to the Therapist who shall indemnify Find My Therapist against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by FindMy-Therapist Limited arising out of or in connection with any claim made against FindMy-Therapist for any infringement of intellectual property rights.

12. Therapist Payment & Account Termination 

12.1. We are entitled to suspend the Therapists account if it has been inactive for at least 3 months. If the Therapist has not re-activated their account i.e. started commercially transacting within the specified notification period (6 weeks) we are entitled to terminate your account and remove you from the Platform without further notice.

12.2.  Customers will directly pay the Therapist via the Payment Gateway, the relevant fee as shown on the Therapists booking details on the Platform. These charges are set at the sole discretion of the Therapist who is solely and responsible for the delivery of the advertised Service under their own terms and conditions and invoice.

12.3.  Via a link on the Platform, Therapists will apply directly to the Payment Gateway for their own individual account and are required to fully understand and comply with its own terms and conditions. The acceptance of the Therapists individual account is at the sole discretion of the Payment Gateway.

12.4.  The Platform fee 20% inclusive of VAT will be deducted at source by the Payment Gateway. We may at any time change the amount of these fees by posting the new rates on Our Platform Service. Any Therapist Services supplied after that notice will be subject to our new fees.

12.5.  Refunds will be at the sole discretion of the Therapist and according to the individual Therapists terms and conditions not withstanding any statutory Consumer legal rights. In the event of a Therapist customer dispute we may decide to act as an arbitrator on behalf of both parties and if so the Platforms decision will be final.

12.6.  The site will also refund its’ fee in the event of a Customer refund. However, at the sites sole discretion an administration fee maybe levied against the Therapist, which will not exceed the sites original fee. This will be paid by the Therapist on the Platforms request. 

12.7.  The Therapist is solely responsible for their own commercial banking arrangements and for any charges or deductions made by their bank.

12.8. The Therapist is responsible for checking their own terms & conditions as well as ensuring that their invoices via the payment gateway are fit for purpose for accounting, VAT or any other applicable tax. We do not offer tax-related advice.

12.9.  If any services are mis-priced, the supplier may be legally obliged to supply the service at that price. Therapist pricing, delivery and terms & conditions are specified and belong to the Therapist. The Platform is not responsible for any commercial arrangements between the Therapist and their Customers.

13. Discounted Pricing

13.1. The Therapist may offer discounts from time to time. We reserve the right to reject any discount /package pricing if we consider that it is being used in breach of these terms. In the event of a suspected breach, we reserve the right to suspend or discontinue a Therapist account whilst an investigation is undertaken.

14. If you upload Content to Our Platform Service

14.1  You are responsible for your Content.

14.2.  You guarantee you have (and will retain) all rights and permissions needed to enable use of your Content as contemplated by Our Platform Service and these terms and conditions.

14.3. If you post a review, you guarantee that you have no personal or business relationship with what is being reviewed, that you are not a competitor of that entity, that have not been offered any incentive to write the review and that the review is your independent, honest, genuine opinion.

14.4.  If you use any features on our site which enable you to share your Content with third party sites, we are not responsible for use of your Content on those third-party sites.

14.5.  We reserve the right without notice or refund to reject, suspend, alter, remove or delete Content or to disclose to the police or other relevant authorities or to a complainant any Content or behaviour if it is the subject of complaint. This includes where we have reason to believe that it breaches our terms and conditions, or that such steps are necessary to protect us or others, or that a criminal offence may have been committed, or where required by law or where requested by the police or other appropriate authorities, or if we consider that Content does not meet our quality standards.  If so, you must not attempt to re-publish or re-send the relevant Content.

14.6. It is your responsibility to decide which Content to upload (subject to these terms and conditions). We do not accept responsibility if your Content is misused by others as this is outside our reasonable control. Don’t upload any Content if you are concerned that it may be misused.

14.7. We may place advertisements near or within your Content. If so, we retain all revenue from such advertisements.

14.8.  It is your responsibility to make your own backup of Content to protect you in case of loss or damage to such material. We are not responsible for such loss or damage.

14.9.  We may irretrievably delete your Content without telling you after this agreement ends.

15. If you view or use the Content of other Users (e.g., participating in live events) 

15.1. You accept that we have no obligation to vet or monitor Users or their Content. While we may make some enquiries, such as asking for professional qualifications of Therapists, we don’t guarantee to do so and, even if we do, we cannot guarantee that such information is or will remain accurate and up to date. We don’t endorse or recommend any Users or their Content. You deal with other Users at your own risk. We accept no legal responsibility for the accuracy of, or otherwise in relation to, any such Content or in connection with any dealings between Users. Where appropriate, it is your responsibility to carry out careful and detailed investigations before dealing with other Users including use of or reliance on their Content. You should not assume that any Content from another User is accurate and be aware that a person may not be who he or she claims to be.

15.2.  You acknowledge that in using Our Platform Service you may encounter behaviour or Content which you consider inappropriate. If so, please email us on enquiries@findmy-therapist.com(including if you wish to give us notice of defamatory material). Please also use any available blocking mechanisms, seek relevant external help If appropriate (e.g. from law enforcement authorities) and/or stop using Our Platform Service.

15.3.  It is your responsibility to ensure that you have a good enough internet connection to enable you to satisfactorily provide or participate in live Therapist Services.

16. Reviews

16.1 As a Therapist, you acknowledge that we permit Users to post public reviews about your Therapist Services. We are not responsible for monitoring or editing reviews. You acknowledge that such reviews may be critical or defamatory of you.

17. Other peoples’ services / advertising / websites

17.1. We may display other peoples’ services, advertising and /or links to other websites. We do not recommend or endorse, nor are we legally responsible for, any of these.  You use them at your own risk.

18. Guidance

18.1. If we ourselves provide any guidance or other general information on Our Platform Service, we do not guarantee that it is accurate or up to date and we do not accept legal responsibility for it. Before acting on such information, you must make your own appropriate and careful enquiries including as to its accuracy and suitability for your purposes. You rely on such information at your own risk.

19. Your account

19.1. Unless otherwise specifically stated on Our Platform Service, your account is for your personal use only and is non-transferable. You undertake not to allow any other person to use your account. You undertake to take reasonable care to keep your login information confidential and to notify us immediately of any apparent breach of security such as loss, theft, misuse or unauthorised disclosure or use of a password.  You are responsible for third parties who use your account or identity (unless and to the extent that we are at fault).

20. Support

20.1. We do not supply support except to the extent specifically stated on Our Platform Service, as may be varied from time to time.

21. Functioning of Our Platform Service

22.1. We do not guarantee that Our Platform Service will be uninterrupted or error-free. We are entitled, without notice and without liability (a) to suspend Our Platform Service for repair, maintenance, improvement or other technical reason and (b) to make changes to Our Platform Service (including limitations such as usage restrictions) provided these don’t have a seriously negative effect on Our Platform Service.

22. Ending or suspending your contract with us

22.1.  You may at any time end this contract by closing your account or otherwise following any applicable instructions on Our Platform Service.

22.2.  We are entitled at any time to end this contract without giving a reason by email notice and/or by SMS.

22.3.  We are entitled at any time (with or without notice) to end this contract or suspend part or all of Our Platform Service or impose restrictions on Our Platform Service if:

a)  We have reason to believe thatyou have breached our terms and conditions;

b)  Any fees due to us are unpaid / unjustifiably charged back;

c)  We think that it is necessary to protect us or others; or

d)  We are required to do so by law or appropriate authority.

22.4.  If either of us ends this contract:

a)  Your right to use Our Platform Service and all licences are terminated (including to use any telephone number that we may have allocated to you).

b)  Existing rights and liabilities are unaffected.

c)  All clauses in this contract which are stated or intended to continue after termination will continue to apply.

d)  You must not attempt to re-register for or continue to use Our Platform Service if we have given you notice of termination.

23. Liability – restrictions on our legal responsibility (IMPORTANT)

23.1. Nothing in this agreement in any way limits or excludes our liability for negligence causing death or personal injury or for fraud or fraudulent misrepresentation or for anything which may not legally be excluded or limited. In this section, any reference to us includes our employees and agents.

23.2.  Very important: If you are a Consumer,we shall not be liable for any loss or damage caused by us or our employees or agents in circumstances where:

a)  There is no breach of a legal duty owed to you by us or by any of our employees or agents;

b)  Such loss or damage was not reasonably foreseeable (meaning it was not an obvious consequence of our breach or not contemplated by you and us at the time we entered into this contract);

c) Such loss or damage is caused by you, for example by not complying with this agreement; or

d)  Such loss or damage relates to a business of yours

e)  as a Consumer your engagement is transacted under the terms & conditions of the individual Therapist. The Therapist is responsible for the service delivery and invoicing

23.3.  Very important: If you are a Consumer, you will be liable for any reasonably foreseeable loss or damage we suffer arising from your breach of this agreement or misuse of Our Platform Service (subject of course to our obligation to mitigate any losses).

23.4.  The following clauses apply only if you are not a Consumer:

a)  If you are or were a therapist, our total aggregate liability of any kind (including our own negligence) is limited to the total fees paid to you in connection with Our Platform Service.

b)  In no event (including our own negligence) will we be liable for any:

  • Economic losses (including, without limit, loss of revenues, profits, contracts, business or anticipated savings);
  • Loss of goodwill or reputation;
  • Special, indirect or consequential losses; or
  • Damage to or loss of data (even if we have been advised of the possibility of such losses).

c)  You will indemnify us against all claims and liabilities directly or indirectly related to your use of Our Platform Service and/or breach of this agreement.

d)  To the extent allowed by law, you and we exclude all terms, whether imposed by statute or by law or otherwise, that are not expressly stated in this agreement.

e) This agreement constitutes the entire agreement between us with respect to its subject matter and supersedes any previous communications or agreements between us. We both acknowledge that there have been no misrepresentations and that neither of us has relied on any pre-contractual statements. Liability for misrepresentation (excluding fraudulent misrepresentation) relating to the terms of this agreement is excluded.

24. Intellectual property rights (e.g. copyright)

24.1.  The intellectual property rights in all material used on or in connection with Our Platform Service are owned by us or other Users. For your personal use only, you may view such material on your device. You must not otherwise use such material including copying, publishing, selling or adapting it or taking extracts from it without our specific prior written consent or, if it is Therapist Content, the relevant Therapist. You must not misrepresent the ownership or source of such material, for example by changing or removing any legal notices or author attributions.

24.2. You must not collect, scrape, harvest, frame or deep link to any Content on Our Platform Service without our specific prior written consent.

24.3.  You must not circumvent or otherwise interfere with any security related features of Our Platform Service or features that limit or prevent copying of Content or which restrict use of Content.

24.4.  You must not reverse-engineer or decompile any of our software in any way (except to the extent allowed by applicable law). You must not create or use a modified or derivative version of our software or distribute or sublicense our software to third parties.  You must take reasonable steps to ensure that our software is not disclosed to any third party.

24.5. If you upload any Content to Our Platform Service or provide us with any ideas or suggestions for Our Platform Service, you allow us at no cost, and forever, to use and adapt all or part of such material including video extracts of up to 120seconds. However, we wish in any media formats, whether on our own Service or on our other channels including mobile, email communications, social media, PR, competitions and press releases and also on third party media, including for the purpose of redistribution or promotion of Our Platform Service. You waive your “moral rights” in relation to such Content to the extent legally allowed.You also allow each User to use your Content in accordance with these terms and conditions.

25. Privacy

25.1. You acknowledge and agree that we may process your personal information in accordance with the terms of our privacy and cookies policy, which is subject to change from time to time.

26. Events outside our control

26.1. We are not liable for failure to perform or delay in performing any obligation under this agreement if the failure or delay is caused by any circumstances beyond our reasonable control including third party telecommunication failures.

27. Legal compliance

27.1. You promise that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

28. Transfer

28.1. We may transfer all or part of our rights or duties under this agreement provided we take reasonable steps to ensure that your rights under this agreement are not prejudiced. As this agreement is personal to you, you may not transfer any of your rights or duties under it without our prior written consent.

29. English law

29.1. This contract is under English law and any disputes will be decided only by the courts of the United Kingdom.  If you are a Consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these terms and conditions affects your rights as a consumer to rely on such mandatory provisions of local law. You may be entitled to use an EU online dispute resolution service to assist with any contractual dispute you may have with us. This service can be found at http://ec.europa.eu/consumers/odr/. 30. General but important stuff

30.1.  We may send all notices under this agreement by email to the most recent email address you have supplied to us (unless otherwise stated above). Headings used in this agreement are for information and not binding. Any failure by either party to exercise or enforce any right or provision of this agreement does not mean this is a “waiver” (i.e. that it cannot be enforced later). If any part of this agreement is ineffective or unenforceable for any reason, the rest of the agreement shall continue to apply. A person who is not a party to this agreement shall have no rights to enforce this agreement except insofar as expressly stated otherwise. The parties are independent contractors and, except as otherwise specifically stated above, nothing in this agreement constitutes any party as agent, employee or representative of the other.

30.2.  Third-Party Links

The CAI Website and its’ Services may contain links to third party websites, advertisers, services, special offers, or other events or activities which are not owned or controlled by Find My Limited. Find My Limited does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the CAI Website, you do so at your own risk, and you understand that this Agreement and the Find My Limited Privacy Policy do not apply to your use of such sites. You expressly relieve FindMy-Therapist Limited from any and all liability arising from your use of any third-party website, service, or content. Additionally, your dealings with or participation in promotions of advertisers found on the CAI Website, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers or sellers. You agree that Find My Limited will not be responsible for any losses or damages of any sort relating to your dealings with such advertisers or sellers.

30.3. Indemnity

You agree to defend, indemnify and hold harmless Find My Limited and its’ subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from: (i) your use of and access to the Website and any of its Services, including any data or content transmitted or received by you; (ii) your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule or regulation; (v) any claim or damages that arise as a result of any of your User Content or any that is submitted via your account; or (vi) any other party’s access and use of the CAI Website its’ Services with your unique username, password or other appropriate security code.

30.4. Warranty

The website and its services, products and materials are provided on an “as is” and “as available” basis. Use of the service is at your own risk. To the maximum extent permitted by applicable law, the website and its’ service, products and materials are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No advice or information, whether oral or written, obtained by you from Findmy-therapist limited or through the service will create any warranty not expressly stated herein.
